Terms of Service

These Terms of Service are a binding agreement between you and the Operator identified in Section 1 and Section 16. Nothing in this document limits or excludes any right you have under law that cannot lawfully be limited or excluded.
1. Acceptance of Terms
By accessing or using Facet Cloud ("the Service"), operated by Jedidiah Esposito, a sole trader trading as Facet Cloud / Facets.sh (New Zealand Business Number 9429053442918, registered address Suite 1336, Level 1, 6 Johnsonville Road, Johnsonville, Wellington 6037, New Zealand) ("we", "us", "the Operator"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. Your continued use of the Service constitutes acceptance of any updates or modifications to these terms. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.
2. Service Description
Facet Cloud provides managed hosting of Facet instances. We provision, maintain, and host your Facet site on our infrastructure, handling server management, updates, backups, SSL certificates, and DNS configuration. The Service includes subdomain hosting (yourname.facetcloud.io) and optional custom domain support depending on your plan.
3. Acceptable Use Policy
You agree not to use the Service to host, publish, transmit, or distribute any content that:
- Is unlawful, threatening, abusive, harassing, defamatory, or obscene
- Promotes racism, bigotry, hatred, or physical harm against any group or individual
- Discriminates based on race, sex, religion, nationality, disability, sexual orientation, or age
- Involves the exploitation or endangerment of minors, including child sexual abuse material (CSAM)
- Infringes on intellectual property rights, including copyrights, trademarks, or patents
- Contains malware, phishing attempts, or security exploits
- Violates privacy or publicity rights of any person
- Violates any applicable local, state, national, or international law or regulation
4. Content Moderation and Removal
Facet Cloud reserves the right to review, refuse, remove, or disable access to any Content at any time, for any reason or no reason, without prior notice. We may take action against content that violates these terms, applicable law, or that we determine in our sole discretion to be harmful, objectionable, or otherwise inappropriate.
5. Immediate Termination Without Refund
Facet Cloud may immediately suspend or terminate your account and permanently delete all associated data, without refund, if your site:
- Violates the Acceptable Use Policy
- Is used for illegal purposes
- Promotes hate speech, discrimination, harassment, or violence
- Poses a legal, reputational, or safety risk to Facet Cloud or its users
Such determination is made at Facet Cloud's sole discretion, is final, and is not subject to appeal.
6. No Obligation to Monitor
Facet Cloud may, but is not obligated to, monitor or review content hosted on the Service. The absence of enforcement action regarding any particular content does not constitute a waiver of our right to take action in the future.
7. 14-Day Money-Back Guarantee
New subscriptions start with a free trial (up to 30 days; see Section 8) during which your card is not charged. Because you owe nothing until your first payment, the 14-day money-back guarantee below runs from your first payment, not from your sign-up date. If you cancel during the trial, you are simply never charged, and no refund is necessary.
New subscribers are entitled to a full refund of their first payment if they cancel within 14 days of that first payment. To request a refund under this guarantee:
- Contact us at support@get-facet.com within 14 days of your first payment
- Include your account email and the reason for cancellation (optional but appreciated)
- Refunds are processed via the original payment method within 5-10 business days
This guarantee applies only to the first billing period of a new subscription. It does not apply to:
- Subscription renewals (monthly or annual)
- Plan upgrades or downgrades after the initial 14-day period
- Accounts terminated for violating the Acceptable Use Policy (Section 3) or subject to Immediate Termination (Section 5)
Upon refund, your Facet Cloud instance will be deprovisioned and all associated data will be permanently deleted.
EU/UK statutory right of withdrawal. If you are a consumer located in the European Union or the United Kingdom, you also have a separate statutory right to withdraw from this contract within 14 days of your sign-up date, without giving any reason. Because your subscription includes a free trial before any charge, you can exercise this right at any time during the trial at no cost, since nothing is charged and there is nothing to refund. If you ask us to start providing the paid Service before that 14-day period ends (for example, by ending your trial early or purchasing a plan with no trial), you acknowledge that the Service is fully performed once the first billing period completes and, to the extent permitted by law, that your statutory withdrawal right ends at that point. The money-back guarantee above continues to apply regardless of location and gives every subscriber, EU/UK or not, 14 days from their first payment to request a full refund.
8. Payment, Subscriptions & Cancellation
New subscriptions start with a free trial of up to 30 days. We collect your card details at sign-up but charge nothing until the trial ends; some offers we run may shorten the trial or skip it entirely, and the checkout page always states the exact trial length and first-charge date before you subscribe. Your first payment occurs automatically when the trial ends, at the price shown at checkout, unless you cancel first.
Subscription fees are billed in advance on a recurring monthly or annual basis depending on your selected billing cycle. Your subscription renews automatically at the end of each billing period, at the then-current rate for your plan, until you cancel. Taxes may apply depending on your location.
You can cancel at any time from your account billing settings, or by emailing support@get-facet.com. Cancellation takes effect at the end of your current billing period: you keep access until then, and you are not billed again. Cancellation stops future billing but, except under the 14-Day Money-Back Guarantee (Section 7), does not entitle you to a refund for the current or any past billing period. One-off purchases (such as individual courses) are charged once and are not subscriptions.
Facet Cloud reserves the right to change pricing with at least 30 days' notice; changes take effect at your next renewal. If a payment fails, we may retry the charge and may suspend the Service until payment succeeds.
9. Limitation of Liability
The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. In no event shall Facet Cloud be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Facet Cloud's total liability for any claim arising from or related to the Service shall not exceed the total fees paid by you to Facet Cloud in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Facet Cloud, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, your content, or your violation of these terms.
11. Your Content and Ownership
You retain all ownership of the content you create, upload, or publish through the Service ("Your Content"), including text, images, files, video, and the audience and subscriber lists you build. We do not claim ownership of Your Content.
You grant Facet Cloud a limited, worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transcode, and transmit Your Content solely to operate and provide the Service to you and your audience (for example, storing your files, encoding your videos for streaming, and delivering pages to visitors). This licence ends when you delete the content or your account, subject to the retention periods in our Privacy Policy and to backups being cycled out.
You are solely responsible for Your Content and for having all rights, licences, and consents necessary to publish it. Facet Cloud and the underlying Facet software remain our (and our licensors') property; nothing in these terms transfers any Facet Cloud intellectual property to you.
You are responsible for keeping your own backups of Your Content. While we maintain operational backups for disaster recovery, we do not guarantee they can be used to restore individual content on request.
12. Copyright and DMCA
We respect intellectual property rights and respond to clear notices of alleged copyright infringement. If you believe content hosted on Facet Cloud infringes your copyright, follow the notice-and-takedown process in our Copyright & DMCA Policy. We may remove infringing content and terminate the accounts of repeat infringers.
13. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law principles. Any dispute arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.
14. Reporting Violations
If you believe content hosted on Facet Cloud violates these terms or applicable law, please report it to abuse@get-facet.com, or follow the notice-and-action process on our Report Content page. That page is also our published point of contact under the EU Digital Services Act and the UK Online Safety Act. We will review reports promptly and take appropriate action.

16. Operator of Record & Your Statutory Rights

Nothing in these Terms limits or excludes any right or remedy that cannot lawfully be limited or excluded, including your rights under the New Zealand Consumer Guarantees Act 1993 and Fair Trading Act 1986, the UK Consumer Rights Act 2015, and any other applicable consumer-protection or unfair-contract-terms law in your jurisdiction. Where a provision of these Terms would otherwise conflict with such a right, that provision applies only to the extent permitted by law.
17. Selling Your Own Content: You Are the Merchant of Record
If you use the Service to sell content, courses, memberships, or other paid access to your own customers, those sales are processed on a Stripe account that you control, connected to the Service via Stripe Connect. You, not Facet Cloud, are the merchant of record for those sales. You are the seller; you set your own prices and refund terms (see our Refund Policy for how buyer refund requests are handled on the Service); you are responsible for delivering what you sold, for your own customer support, and for complying with the tax, consumer-protection, and other laws that apply to your sales and to your customers' jurisdictions.
Facet Cloud is not a party to the contract between you and your buyers. We provide the hosting and payment-processing platform (including the Stripe Connect integration) but do not set your prices, do not decide your refund terms, and are not responsible for your compliance with laws governing your own sales. The business name, statement descriptor, and support contact your buyers see on their receipt and card statement come from your own Stripe account's settings; you are responsible for keeping them accurate.
Facet Cloud may decline, hold, or restrict your ability to process new sales through the Service, without deleting your site, content, or data, if required by Stripe, by applicable law, or where we reasonably believe continuing to process payments poses a fraud, chargeback, sanctions, or other legal or compliance risk. This is separate from, and does not require, the account termination described in Section 5.
